Agreement to Terms
By accessing or using the Abixon Digital website (abixondigital.com), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website.
Our Services
Abixon Digital provides web design, development, hosting, maintenance, and related digital services for small businesses. The specific scope, deliverables, and pricing for any project are outlined in a separate service agreement between Abixon Digital and the client.
Intellectual Property
All website designs, code, and graphics created by Abixon Digital are licensed to you while your monthly agreement is active. You own your domain name, the content you provide to us (text, images, logos), and your data at all times. Where your domain's registration is held in our account, we hold it on your behalf, and you remain its owner. Ownership of the website source code and design files transfers to you once you have either (a) paid for the build upfront, (b) completed the full initial term specified in your service agreement and paid everything due, or (c) paid the Early Exit Ownership Fee set out in your service agreement (the unearned part of the build fee, as calculated there), together with any other amounts then due. After ownership transfers, the website code and design files are yours to host, modify, or migrate as you choose. Our reusable internal tools, components, frameworks, and development processes - the systems we use to build for many clients - remain our intellectual property and are never transferred.
Client Content
You are responsible for providing accurate content (text, images, logos, etc.) for your website. You represent that you have the right to use any content you provide to us. Abixon Digital is not liable for any copyright or trademark issues arising from content supplied by the client. All content you provide remains your property at all times.
Use of This Website
You agree to use this website for lawful purposes only. You may not attempt to interfere with the website's functionality, introduce malicious code, or access areas of the website that are not intended for public use.
Payment Terms
Monthly plans start at $150 per month. Specific pricing, billing cadence, and any minimum commitment are determined during the quote process and outlined in your service agreement. Payments are due on the date specified in your agreement. Late payments may result in service suspension after a 7-day grace period.
Cancellation
Cancellation terms depend on the plan specified in your individual service agreement. (1) Monthly plans that include a website we build for you, including Redesign plans, run on an initial term of 6 to 12 months, with the length set by the scope of the build and stated in your service agreement. If you cancel before the initial term is complete, you may choose either of the two options set out in your service agreement: (a) pay the Early Exit Ownership Fee (the unearned part of the build fee, as calculated in your service agreement) together with any other amounts then due, and ownership of the website source code and design files we created for you transfers to you; or (b) give 30 days' written notice without paying that fee, in which case the website is taken offline at the end of the notice period and no website files or website ownership rights transfer to you. Your domain stays yours under either option. Choosing option (b) does not make the Early Exit Ownership Fee due. Any unpaid monthly amounts and other amounts owed when the agreement ends remain payable, and an amount still unpaid 30 days after its due date may be referred to collections, as set out in your service agreement. If you complete the full initial term, ownership transfers to you once everything due is paid, and we hand the website files over when you ask. After ownership transfers, you may keep the site hosted with us at $40 per month for basic hosting, or migrate it to a host of your choice. (2) Tune-Up plans cancel any time after a 3-month minimum, with no ownership transfer applicable because the customer retains their existing website throughout. (3) One-time upfront build projects: the website is yours at launch, with optional hosting available, quoted on request. In every scenario, your domain and any content you provided to us remain yours. When your service agreement ends, for any reason, we start handing over control of any part of your domain's registration or DNS that we manage within 7 business days, as set out in your service agreement.
Limitation of Liability
Abixon Digital is not liable for any indirect, incidental, or consequential damages arising from the use of our website or services. Our total liability for any claim related to our services is limited to the amount you paid us in the 12 months preceding the claim. We do not guarantee specific business results, search engine rankings, or traffic from any website we build.
Third-Party Links
Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of these external websites. Visiting them is at your own risk.
Disclaimer of Warranties
Our website and services are provided "as is" without warranties of any kind, either express or implied. While we make every effort to keep our website accurate and up to date, we do not guarantee that it will be error-free or uninterrupted.
Governing Law
These terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these terms will be resolved in the state or federal courts located in Florida.
Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Continued use of our website after changes are posted constitutes acceptance of the updated terms.
